10 Year Limited Warranty

The Company offers the original user a warranty against all manufacturing defects in material and workmanship for ten years from the date of purchase on all frame parts and two years from date of purchase on all plastic parts and three years from dated of purchase on upholstery material. If defective, the Company will, at its option, repair or replace the defective product or parts.

The Company’s commercial products are intended for indoor use. Exposure to the sun and moisture could cause an adverse effect on the metal and plastic parts resulting in shorter product life. This warranty does not cover damage from exposure to outdoor elements such as wind, rain, snow, ice or any other acts of God.

This warranty does not cover damage resulting from accidents, misuse, abuse, failure to provide reasonable and necessary maintenance, improper handling or installations or repairs made by anyone other than the Company or someone authorized by the Company in writing, handling or transportation costs to and from repair stations, and specifically excludes claims for indirect, incidental and consequential damages. Implied warranties of merchantability and fitness for a particular purpose are limited to the time durations stated above. The exclusive remedy for breach of the warranty contained herein is the repair or replacement of the defective product at option of the Company. In no case shall the Company’s liability under any other remedy prescribed by law exceed the purchase price.

No returns will be accepted without prior authorization. The Company will not be responsible for damages resulting from mishandling and abuse in transit to and from repair stations. If such damage occurs, you should file a claim with the carrier. Some states do not allow the exclusion, limitation of incidental and consequential damages or limitation on how long an implied warranty lasts, so the above limitations may not apply to you. This warranty gives you specifically these rights, and you may also have other rights, which vary from state to state.

Ordering:

The term Company refers to Resilient Furniture aka: Resilient Furniture Inc., Murfreesboro, Tennessee. When ordering, the complete model number, color, quantity and any special instructions must be provided. The customer is responsible to provide correct information on placing an order. The Company attempts to comply with reasonable special instruction on orders if they do not conflict with published terms and conditions and do not involve additional cost. All orders are subject to approval and acceptance by the Company. All orders are subject to the terms and conditions set forth. Possession of Company sales and pricing literature does not constitute an offer to sell. Standard colors and finishes are detailed in current Company sales literature.

Cancellation of Product Orders:

All cancellations or changes to orders are subject to Company approval. No cancellation will be approved after production has begun. Cancellation of non-stock product, if accepted, is subject to a 30% cancellation charge plus any special up-charges on product.

Price Changes:

Prices are subject to change without notice. All orders are subject to prices in effect at time of shipment. Orders with acknowledged ship dates prior to effective date of price increase are billed at the acknowledged price if late shipments occur, unless the cause of late shipment is beyond Company control.

Terms of Delivery:

The Company shall have the right to deliver all of the goods at one time, or in portions from time to time within the time of delivery provided. Failure to deliver all of the goods at one time, notwithstanding customer’s specific request for delivery at one time, shall not relieve customer of the obligation to accept and pay for the goods.

Returns:

Return shipments are not accepted unless specifically authorized by the Company on a Returned Goods Authorization Form furnished by the Company Customer Service Department. Merchandise must be returned in original shipping cartons, with proper inner packing. Acceptance of returned merchandise is subject to inspection and a minimum restocking charge of 30% of the invoiced amount. Returned merchandise should be forwarded with transportation charges PREPAID. Returns must be made within 10 days after return authorization is issued.

Payment Terms:

Invoices are due net 30 days from the invoice date. Discount is applicable to merchandise invoiced and is not applicable to shipping and handling charges. Customers whose invoices are not paid in full as of the end of 30 days following invoicing date will be notified that orders may be delayed until past due accounts are current.

Disputed Accounts:

To be considered, disputed accounts must be submitted to the Company in writing within 30 days of invoice date. Lack of written notification of disputed payments may result in delayed orders and shipment.

Shipping and Handling Fees:

Each shipment at standard dealer discount, within the Continental United States, is charged a shipping and handling fee based upon order size, weight and destination. Orders meeting the minimum for free shipping are routed by the Company based on negotiated rates and tariffs with contracted carriers.
